FS Media – Terms and Conditions

1. Acceptance of Terms

By accessing this website or engaging FS Media for services, you agree to comply with and be bound by these Terms and Conditions. If you do not agree with any part of these terms, you should not use our services or website.

2. Service Scope

FS Media provides marketing, public relations, branding, event management, advertising, and content creation services. The scope of services may vary and is subject to specific client contracts or proposals.

3. No Guarantee of Results

While we strive to deliver high-quality campaigns, FS Media does not guarantee specific results, such as increased sales, engagement, or visibility. Marketing and communication
outcomes depend on numerous external factors, including third-party platforms and client market conditions.

4. Client Responsibilities

Clients agree to:

• Provide timely access to information, feedback, approvals, and assets necessary for execution.
• Appoint a dedicated point of contact.
• Ensure that all information provided is accurate and lawful.

FS Media is not liable for delays or failed deliverables caused by incomplete client input or delayed approvals.

5. Payments, Refunds, and Cancellations

All quotations provided by FS Media are exclusive of applicable taxes and valid for 14 days.

• Payments are due as outlined in the invoice or contract terms.
• All payments are non-refundable unless otherwise agreed upon in writing.
• Cancellations must be submitted in writing. Any services rendered up to the date of cancellation are billable and must be settled in full.

6. Ownership of Deliverables

All intellectual property, designs, strategies, and content remain the property of FS Media until full payment is received. • Upon payment, clients receive usage rights to the final deliverables as specified in the agreement. FS Media retains the right to display completed work in its portfolio unless otherwise agreed in writing.

7. Third-Party Tools and Platforms

FS Media may utilize third-party tools, platforms, or suppliers (e.g., Meta Ads, Google Ads, printing vendors). We are not responsible for outages, errors, or losses arising from third party platforms.

8. Data and Privacy

We do not sell or share personal client data without consent, except where required to deliver services or by law. Please refer to our [Privacy Policy] for more details.

9. Limitation of Liability

Under no circumstances shall FS Media or its affiliates be liable for:
• Any indirect, incidental, or consequential damages.
• Loss of profit or business opportunity.
• Errors resulting from client-provided content or inaccurate briefing.
Maximum liability under any agreement shall not exceed the total fees paid by the client for the specific service rendered.

10. Indemnification

You agree to indemnify and hold harmless FS Media, its directors, staff, and affiliates from any claims, losses, damages, or legal actions arising from:

• Your use of our services,
• Your breach of these Terms,
• Or any violation of law or third-party rights in connection with content you provided.

11. Event Management & Public Installations

While FS Media undertakes all reasonable care, it is not liable for accidents, injuries, or losses occurring during physical activations, events, or installations. Clients are advised to ensure
independent insurance where necessary.

12. Changes to Services or Terms

We reserve the right to modify our services or these Terms at any time. Updated terms will be posted on this website and will become effective immediately upon posting.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes shall be subject to the exclusive jurisdiction of the Kenyan courts.
